NICK THEOS

Nick Theos is a Partner and member of the firm’s SEC Capital Markets practice with more than 14 years of experience providing audit and advisory services to publicly traded and privately held companies. He has significant experience serving companies across the Technology, Media and Telecommunications (TMT) and Manufacturing and Distribution industries, including both domestic and international organizations.

Nick has extensive experience working with companies accessing the U.S. capital markets and advising management teams through the financial reporting and regulatory requirements associated with complex transactions. His capital markets experience spans traditional initial public offerings (IPOs), de-SPAC transactions, reverse mergers, public and private capital raises, and mergers and acquisitions. 

As part of his public company practice, Nick provides audits conducted in accordance with PCAOB standards and has extensive experience with SEC reporting and filing requirements, including Regulation S-X and Regulation S-K. He works closely with management teams, boards, attorneys, investment bankers, and other advisors throughout the capital markets process.

Nick also has significant experience helping companies navigate complex accounting and financial reporting matters under both U.S. GAAP and IFRS. His experience includes serving domestic and international clients and includes advising foreign companies on cross-border transactions and the accounting, auditing and financial reporting considerations associated with accessing the U.S. capital markets.
